Statement from Nexperia
十月 23, 2026Nijmegen -- Nexperia B.V. today issues a statement to address a substantial number of questions it has received from anonymous minority shareholders of Wingtech regarding Wingtech's 2025 annual accounts.
Nexperia has cooperated with Wingtech and its auditor regarding Wingtech's 2025 annual accounts. At Wingtech's request, we provided extensive information, and Wingtech's auditor has acknowledged and appreciated Nexperia's cooperation. To support this process, Nexperia has prioritized these efforts over its own audit over financial year 2025. In addition, Nexperia has provided Wingtech monthly financial management information, yet contrast, neither Wingtech nor Nexperia China has responded substantively to Nexperia’s requests for (financial) information regarding Nexperia's Chinese subsidiaries.
While we recognize the consequences of the auditor's disclaimer of opinion on Wingtech's 2025 annual report, responsibility for Wingtech’s annual report rests with Wingtech's leadership. This includes identifying and proposing mitigating measures. Accordingly, we are not in a position to comment further and refer questions in relation to Wingtech’s 2025 annual report to Wingtech.
We would like to emphasize that it has never been Nexperia's intention to harm the interests of Wingtech's shareholders. On the contrary, the proceedings initiated with the Enterprise Chamber in Amsterdam in October 2025 were in the interest of Nexperia and other relevant involved parties including Nexperia’s direct and indirect shareholders, and had one the objective only: to address serious governance concerns under the company's previous governance – including a conflict of interest of former CEO Mr. Zhang Xuezheng, who has since been suspended by the Enterprise Chamber.
Since October 2025, Nexperia has repeatedly invited Wingtech's leadership and Nexperia China to engage in a constructive dialogue to restore Nexperia's supply chain, which benefits all stakeholders. To date, those invitations have not received a constructive response. Any questions regarding this position, Wingtech's motives and Wingtech's listing status should be directed to Wingtech's leadership.
Nexperia's management remains focused on acting in the best interests of the company and its stakeholders. This is reflected in the company's recent quarterly results, which demonstrated strong performance and continued recovery momentum.
